CMI Holdings Group Inc. Changes Management And Board

SACRAMENTO, Calif., Jan 28, 2003 /PRNewswire-FirstCall via COMTEX/ -- Pursuant
to a Global Settlement Agreement between CMI Holdings Group Inc. (OTC Pink
Sheets: CMIH) and certain of its outstanding creditors, CMI Holdings Group has
accepted the resignations of Ross Rojek from his positions as Director and Chief
Executive Officer, Mike McCulloch from his positions as Secretary, Treasurer and
Director, and Bob Matson, Heidi Cotler, and Dave Olbrich from their position as
Directors. The Company has appointed Scott Johnson as its sole officer and
Director.

CMI Holdings Group also entered into a Consulting/Licensing and Asset Sale
Agreement with a third party company, which will manage the day-to-day
operations of CMI Holdings Group, with an option to purchase substantially all
of the assets of CMI Holdings Group.

At this time consumers should not notice any change in the company's day- to-day
operations as a result of the change in management or the Consulting/Licensing
and Asset Sale Agreement. Another Universe will continue to find new and
entertaining products for sale, including the complete Twilight Zone DVD

Back in August, Ross told me that he was arranging to sell AU to himself. This might be good news, or this might just be that Ross Rojek has now taken AU.com from CMIH.

Notice how the "third party" is not named. I wonder what they could be afraid of. I believe that Ross has just taken AU from CMIH leaving the investors with nothing but a shell.

Heck, he told me he was going to do this one week before my wedding in August. The investors chose not to believe me. I was just passing along what I was told. Seemed wrong from an investor point of view.

Heh, even if Ross severed all ties from AU and CMIH forever, I still hold him responsible for what happened and reserve my ire for the RR voodoo doll.

How could you not.

I think we would be best off if he did jsut disappear completely from AU/CMIH, if someone new came in atleast we wouldnt have to worry about any other mysterious charges (hopefully).

I hope RR didn't take AU, though knowing his stupidity he did.

Could somebody boil this development down to basic facts because I'm having trouble understanding what the hell happened.

Ross resigned. Did he resign from AU, CMIH, or both?
Who now controls AU?
Who owns AU?
How does Ross figure into all of this now?

I think that is the problem. I don't think it is obvious to anyone, except those directly related to it, where AU sits in all this.

Ross may or may not have taken AU from CMIH. Most likely he did, just from what he has told Jason in the past. Now what he will do with that who knows.

Another thing I don't understand: If Ross took AU with him, why is Another Universe and the TZ DVDs mentioned in the CMI press release? If CMI and AU would be now two seperate companies (or soon to be seperated) then it would make no sense to promote AU and their DVD releases in a CMI press release. Or am I missing something here?

The third party is American Entertainment Group.

The owner of American Entertainment Group is Ross Rojek.

Ross Rojek will still own AnotherUniverse.com.

Oh, that's just brilliant. Leave the "third party" unnamed in the release, mostly because the person who is resigning is the third party.

I'm sure all of the wonderful folks over at Raging Bull are just a bunch of happy campers right about now...

I know the forum was down for a while, but does anyone have anything on this new AU e-mail? Obviously it's a product of the story reported above in this thread, but I'm wondering if the e-mail signals a true shift in the project, or is just more of the same old BS?
Recently there have been some changes at Another Universe. CMI Holdings Group has contracted with American Entertainment Group to take over the running of the web site, fulfillment of orders and finishing all shipping with the MSCL lunchboxes and bonus DVDs. The lunchboxes are finished and being shipped from China at this time. When they arrive, they and the MSCL bonus DVD will be shipping to you.

We are sorry for the delays on getting the remainder of your product to you. But they are on their way and our pririty will be to get them to you as soon as we can.

If you have an outstanding refund or overcharge due to you from Another Universe, please fill in the information at the bottom of this email and return it to mscldvd@anotheruniverse.com to reguest a claim form from and we will send you one right away. Upon receipt of it, we'll verify the status and process your credit. It definitely has that AU touch. I like the conflicting information of where to reply. They most likely go to the same mailbox, but still...

And reguest! That appears to be a nice little tactic for not acknowledging replies. AU: "Oh, we never received that request."
